Important: These Terms of Service constitute a legally binding agreement between you and Coliga AI LLC. Please read them carefully before using the Coliga platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using the Coliga platform (the "Platform"), including any website, mobile application, or related services operated by Coliga AI LLC ("Coliga," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific features. If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all visitors, registered users, contractors, subcontractors, materialmen, insurance providers, property owners, and any other parties who access or use the Platform. If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

Coliga is an AI-powered construction marketplace and compliance platform operating primarily in the State of Florida. The Platform provides the following services:

  • A marketplace connecting licensed contractors, subcontractors, materialmen, and property owners for construction projects.
  • A Notice to Owner (NTO) tracking and management system in compliance with Florida Statute 713 (Florida Construction Lien Law).
  • Contractor license verification and credentialing services.
  • Project posting, bidding, and proposal management tools.
  • AI-assisted document generation and compliance guidance.
  • Messaging and communication tools between platform participants.
  • Subscription-based access to premium features and analytics.

Coliga acts solely as a technology platform and marketplace intermediary. We do not employ contractors, perform construction work, provide legal advice, or guarantee the quality, safety, or legality of any work performed by contractors found through the Platform.

3. Eligibility and Account Registration

To use the Platform, you must be at least 18 years of age and have the legal capacity to enter into binding contracts under applicable law. By registering an account, you represent and warrant that:

  • All registration information you provide is accurate, current, and complete.
  • You will maintain the accuracy of such information and promptly update it as necessary.
  • You are legally authorized to perform the services or conduct the activities described in your profile.
  • Contractors must hold valid, active licenses issued by the Florida Department of Business and Professional Regulation (DBPR) or other applicable licensing authority for the services they offer.
  • You will not create more than one account without express written permission from Coliga.
  • You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. User Conduct and Prohibited Activities

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Post false, misleading, or fraudulent information about yourself, your credentials, licenses, or services.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Solicit users to transact outside the Platform in order to circumvent fees or Platform policies.
  • Harass, abuse, threaten, or intimidate other users.
  • Post or transmit content that is defamatory, obscene, offensive, or violates any applicable law.
  • Attempt to gain unauthorized access to any portion of the Platform or any connected systems or networks.
  • Use automated means, including bots, scrapers, or crawlers, to access or collect data from the Platform without express written permission.
  • Violate any applicable federal, state, or local law, regulation, or ordinance, including Florida construction licensing laws.
  • Engage in any activity that could damage, disable, overburden, or impair the Platform.

5. Contractor and Service Provider Obligations

Contractors, subcontractors, materialmen, and other service providers ("Contractors") using the Platform agree to the following additional obligations:

  • Maintain all required licenses, permits, and insurance coverage required by Florida law and applicable local ordinances at all times while using the Platform.
  • Accurately represent your license type, license number, license status, and scope of work in your profile and all communications.
  • Comply with all applicable Florida construction lien law requirements, including Florida Statute 713.
  • Provide accurate and honest proposals, bids, and estimates to property owners.
  • Perform all work in a professional, workmanlike manner consistent with industry standards.
  • Promptly notify Coliga if your license is suspended, revoked, or expires.
  • Maintain adequate general liability insurance and workers' compensation coverage as required by Florida law.

6. Florida Construction Lien Law Compliance

The Platform provides tools to assist with compliance with the Florida Construction Lien Law (Florida Statute 713). However, Coliga does not provide legal advice, and the NTO tracking and document generation tools provided on the Platform do not constitute legal counsel. Users are solely responsible for ensuring their compliance with all applicable lien law requirements.

Coliga strongly recommends that all users consult with a qualified Florida construction attorney regarding their specific lien law obligations. The Platform's lien law tools are provided as a convenience only and may not reflect the most current legal requirements. Coliga expressly disclaims any liability for any failure to comply with lien law requirements arising from reliance on the Platform's tools or content.

7. Fees, Subscriptions, and Payments

Coliga offers both free and paid subscription tiers. By subscribing to a paid plan, you agree to pay the applicable fees as described on the Platform's pricing page. All fees are stated in U.S. dollars and are non-refundable except as expressly provided in these Terms or required by applicable law.

  • Subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase.
  • You authorize Coliga to charge your payment method on a recurring basis until you cancel your subscription.
  • You may cancel your subscription at any time; cancellation will take effect at the end of the current billing period.
  • Coliga reserves the right to change subscription fees upon 30 days' prior written notice.
  • Coliga reserves the right to suspend or terminate your account for non-payment of fees.

8. Intellectual Property

The Platform and all of its content, features, and functionality — including but not limited to the Coliga name, logo, software code, design, text, graphics, and data — are owned by Coliga AI LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal or internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our express written permission.

By submitting content to the Platform (including profile information, project listings, proposals, and reviews), you grant Coliga a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content for the purpose of operating and improving the Platform.

9. Disclaimers and Limitation of Liability

Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. COLIGA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COLIGA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM. IN NO EVENT SHALL COLIGA'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COLIGA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Coliga AI LLC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform; (c) your violation of any third-party right, including any intellectual property right or privacy right; (d) any claim that your content caused damage to a third party; or (e) your violation of any applicable law, including Florida construction licensing laws.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you hereby consent to personal jurisdiction in such courts.

Before initiating any legal proceeding, you agree to first attempt to resolve any dispute informally by contacting Coliga at [email protected]. If the dispute is not resolved within 30 days, either party may pursue formal legal action.

12. Termination

Coliga reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, including but not limited to cases where: (a) you violate these Terms; (b) your contractor license is suspended, revoked, or expires; (c) you engage in fraudulent or illegal activity; or (d) your account has been inactive for an extended period.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to These Terms

Coliga reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date at the top of this page. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform.
